All resolutions adopted at Adyen N.V.’s 2026 AGM

Amsterdam, 28 May 2026 - Adyen N.V. (AMS: ADYEN) announces that all resolutions on the agenda of its 2026 Annual General Meeting (AGM), held on May 28, 2026, were approved by shareholders. This included the reappointments of Pieter van der Does (co-founder and Co-CEO) and Roelant Prins (CCO) as members of the Management Board for four-year terms until 2030.

Shareholders also approved the appointment of Herna Verhagen as a member of the Supervisory Board for a four-year term, ending at the close of the AGM to be held in 2030. Subject to her appointment, Herna Verhagen will succeed Piero Overmans as Chair upon his retirement later this year.

All other agenda items were approved, including the Financial Statements for 2025, the discharge of the Management Board and Supervisory Board members for the financial year 2025, and the reappointment of PricewaterhouseCoopers Accountants N.V. (PwC) as external auditor for 2026. EY Accountants B.V. (EY) is appointed as external auditor for 2027, following mandatory audit firm rotation requirements.

During the AGM, following questions regarding the announced departure of CFO Ethan Tandowsky on August 31, Adyen also confirmed that there are no changes to standing financial objectives.
