Adyen nominates Herna Verhagen as Supervisory Board member and Chair

January 20, Amsterdam - Adyen N.V. announces that the Supervisory Board has nominated Herna Verhagen for appointment as a member of the Supervisory Board, with effect from the Annual General Meeting of Shareholders to be held on May 28, 2026 (Adyen’s Annual General Meeting).

Piero Overmars, who has served multiple terms on the Supervisory Board since January 2017, will not stand for re-election as Chair of the Supervisory Board upon the expiry of his current term. Subject to her appointment, the Supervisory Board intends to elect Herna Verhagen as Chair following the retirement of Piero Overmars.

Herna Verhagen brings more than 20 years of experience in executive and non-executive leadership roles. She previously served as Chief Executive Officer of PostNL N.V. and has been a member of the Supervisory Board of ING Groep N.V. since 2019 and of Royal Philips N.V. since 2022.

The proposed appointment has been approved by the Dutch Central Bank ( De Nederlandsche Bank ) and will be submitted for approval to shareholders at Adyen’s Annual General Meeting. Piero Overmars will step down from the Supervisory Board toward the end of 2026.
