Part 1: Financial Services Guide (FSG)
1.1. Purpose of this FSG
This FSG contains information designed to help you decide whether to use any of the financial services offered by us and contains important information:
who we are and how to contact us;
general information about the financial services we are authorised to provide to you;
how we and others may be paid in relation to the financial services that we provide; and
how to contact us and what to do if you have a complaint.
1.2. How you can provide instructions to us
You may provide instructions through your Adyen customer portal. You may also provide instructions to us by contacting us using the details at the beginning of this document.
1.3. The financial services we can provide to you
Adyen Australia is authorised to:
issue, apply for, acquire, vary or dispose of non-cash payment products; and
provide general financial product advice for non-cash payment products.
We are only authorised to provide general advice, so you should be aware that any material provided to you by us – including this document – does not take into account your objectives, financial situation, or needs. Because of this, you should consider the appropriateness of any advice we provide and any financial products that we issue, having regard to your objectives, financial situation, and needs, before acting on it.
1.4. Who we act for when providing financial services
We provide the financial products and services we offer, and we act on our own behalf.
1.5. How we are paid for the financial services we provide
Adyen Australia receives money from fees paid to us in connection with the financial products and other services that we provide. Our staff receive a salary plus superannuation and may receive bonuses and other benefits from time to time.
Within a reasonable time after you are given this FSG, you may request particulars of the remuneration or other benefits that our employees may receive in relation to the provision of financial services to you, within a reasonable time after you are given this FSG but, in any event, before the financial service is provided to you.
1.6. Our associations and relationships
We are part of the Adyen N.V. group of companies and issue the financial products that we provide.
1.7. Our compensation arrangements
We have professional indemnity insurance, which provides cover for claims by retail clients that relate to the financial services that we and our representatives provide. This satisfies the compensation arrangements required under section 912B of the Corporations Act 2001 (Cth) (Corporations Act).
We are also covered for claims against former representatives while they acted on our behalf.
You do not have a direct right to claim under this insurance.
1.8. What if you have a concern?
If you have a complaint about our services, please contact us via https://www.adyen.com/en_AU/contact/complaint.
We aim to acknowledge receipt of your complaint within 1 working day, and to resolve your complaint within 30 days.
If you’re not satisfied with our response and you are a retail client (as defined in the Corporations Act), you can contact the Australian Financial Complaints Authority (AFCA) (an independent and free dispute resolution body). Before AFCA can investigate the matter, you must have first given us the opportunity to review it.

Part 2: Product Disclosure Statement (PDS)
2.1. Important notice
This PDS includes important information you will need to consider when making a decision about whether to use our Payout and Platform Voucher Services (defined in section 2.2 below).
Your use of the Payout and Platform Voucher Services is governed by the applicable terms and conditions (see section 2.3 below) and our Privacy Statement, available at https://www.adyen.com/policies-and-disclaimer/privacy-policy, each incorporated by reference in this PDS. This PDS only covers the financial products issued by Adyen Australia and does not provide any other information about Adyen’s other services.
Information in this PDS may change from time to time. Where a change is not materially adverse to customers, we may tell you about the change by publishing an updated version of the PDS on our website. We will, on your request, provide you with a paper copy or electronic copy of any updated information, free-of-charge.
By making an application for Adyen Australia's services, you agree to receive communications in digital form only (including via email to the email address you provide to us, or via customer online portal, which may include a copy of, or link to, the relevant communication).
The information in this PDS is general information only. It does not take into account your objectives, financial situation or needs. Accordingly, before acting on any information contained in this PDS, you should consider whether the financial products described in this document are appropriate for you, having regard to your objectives, financial situation and needs.
Neither Adyen Australia, nor its related entities, directors, officers or service providers, guarantee the performance of the financial products issued by Adyen Australia.
2.2. Adyen’s Payout and Platform Voucher Services and key benefits
In this PDS:
AfP means Adyen for Platforms;
AfP User means a seller of goods and/or services (e.g. sub-merchant) that operates within the ecosystem of a Platform and for which Adyen Australia or its affiliates processes transactions for the sale of such goods and/or services under the AfP service;
Direct Merchant means a business who sells goods and/or services either in person and/or online and has a direct agreement with Adyen Australia; and
Platform means a business (e.g. marketplace, on-demand service, crowdfunding platform or other similar business model) that has entered into an agreement with Adyen to use AfP, which enables AfP Users to receive funds.
The Payout and Platform Voucher Services are financial products for the purposes of Australian law, known as ‘non-cash payment facilities’.
Payout Service
As a Direct Merchant or Platform, the Payout Service enables you to direct us to pay out acquired funds to you or other third parties.
If you are a Platform using our AfP service, you can also direct us to:
Split payments between one or multiple AfP Users, deduct costs as needed, and hold funds until payout;
Securely transfer funds between your account and your AfP Users’ accounts; and
Determine payouts for AfP Users – whether it be on demand or automated.
The benefit of the Payout Service enables you to disburse acquired funds processed by Adyen Australia (or its affiliates) to your nominated bank accounts or other recipients (such as AfP Users, suppliers or other third parties). Payout Services to suppliers or third parties is not available to all Direct Merchants and Platforms: availability is subject to our eligibility checks.
Platform Voucher Service
If you are an AfP User, the Platform Voucher Service enables you to direct us to re-spend funds acquired from your sale of goods or services to then purchase goods or services from other AfP Users within the same Platform’s ecosystem, instead of having those funds settled to your nominated external bank account. The Platform Voucher Service is not available to all AfP Users: availability is subject to a Platform meeting our eligibility requirements and enabling this feature.
The benefit of the Platform Voucher Service is that it enables you, as an AfP User, to re-spend acquired funds within the ecosystem provided by the relevant Platform (for example, to purchase goods on an online marketplace operated by the same Platform).
The use of the Payout and Platform Voucher Services is subject to applicable laws and regulations.
2.3. Terms and Conditions
If you sign up to use Adyen Australia’s services, the terms and conditions of the applicable agreement(s) with Adyen Australia, any relevant affiliates, and (for AfP Users) the relevant Platform – including any schedules and documents referenced – will govern the use of any financial products issued to you by Adyen Australia.
2.4. Key risks of using our Payout and Platform Voucher Services
Key risks of using Adyen Australia’s Payout and Platform Voucher Services include:
Blocked Payouts: You may not receive your settlement amount from us if you owe any amount to us or our affiliates. In some cases, payments may be blocked due to issues with your account, or for compliance or risk management reasons. It is important to ensure your bank account details are always up to date.
Payout Timing Variability: For the Payout Service, the exact timing of payment depends on a number of factors, including the settlement times of different payment methods.
Cross-Border Payouts: While supported, cross-border payouts can have limitations and may be more complex than local payouts, including delays in settlement.
Security and Service Availability: There is a risk that the electronic network and the payment network that Adyen Australia uses to provide Payout and Platform Voucher Services may be unavailable for a period of time. This means you may not be able to use the Payout and Platform Voucher Services. Although we, and our partners, seek to achieve 100% availability, process and service disruptions may occur periodically.
Fraud and Unauthorised Transactions: There is a risk that the security of your account could be compromised and that a person could attempt to conduct fraudulent transactions on your account, or that we may not process your transactions in some circumstances. For example, where we consider the transaction to be high-risk or fraudulent, or we are unable to prove your identity. It is important that you safeguard your login details as well as any passwords, equipment or software you use to access our services.
Third party risk: There is a risk that a person with whom we contract in relation to the provision of our services (such as card networks or banking partners) may fail to meet their contractual obligations. This means that you may not be able to use the Payout and Platform Voucher Services as designed, and this could result in delays or loss.
Adyen Australia is not a bank or authorised deposit-taking institution regulated by the Australian Prudential Regulation Authority. Funds acquired by Adyen Australia and held by us pending receipt of further instructions from you do not constitute a deposit or the purchase of stored value from us.
2.5. Fees and other costs
The terms of the applicable agreement (see section 2.3 above) govern the fees and costs payable in respect of Adyen Australia’s Payout and Platform Voucher Services.
2.6. Other important information
Taxation
There may be tax implications associated with using our services and you should obtain independent taxation advice applicable to your own facts and circumstances. You are solely responsible for collecting, reporting and paying any taxes that may arise from your use of our services. You agree to comply with the applicable tax laws in connection with your use of our services. Fees we charge are subject to Goods and Services Tax (GST) where our service is a taxable supply and in those circumstances, GST will be added to those fees.
Please note that Adyen Australia is legally required to report transactions to the Australian Taxation Office, including pursuant to Division 396 of Schedule 1 to the Taxation Administration Act 1953 (Cth).
